This Agreement is entered into between the parties concerned on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follows:

本协议基于双方之平等、互利、业务发展条款及条件等考虑而共同商定如下：

Article 2 : Appointment

第二条：协议内容

Party A hereby appoints Party B as its Agent to solicit orders for the commodity stipulated in Article 3 from customers in the territory stipulated in Article 4, and Party B accepts and assumes such appointment.

甲方兹任命乙方为代理商，于其代理区域(详见第四条)内负责处理客人请购的产品(详见第三条)，而乙方对此协议无任何异议。

Article 3 : Commodity

第三条：代理商品

第四条：代理区域

Article 5 : Solicit order 

第五条：请购订单

1). Party B shall undertake to solicit orders for the above commodity from customers in the above territory during the effective period of this agreement.

于此合约有效期限内，乙方应处理代理区域内客人的请购事宜。

2). Party B undertakes to order the above commodity to resell, not less than USD10,000.00 in 30 days when signed this agreement.

协议规定乙方按月应向甲方采购商品再转售(给其代理区域内的客人)，每月总金额不得少于美金 1 万元。( 此处亦可规定数量 )

Article 6 : Price and Payment

第六条：价格及付款条件

The price for each individual transaction shall be fixed through negotiations between Party B and the buyer, and subject to Party A's final confirmation, the payment for goods can be paid by Party B or by the buyer.

乙方与客人(买方)协商后之交易金额，每笔需得到甲方的同意方可成交，乙方或由买方直接付款即可。

Article 7 : Agency Right 

第七条：代理权限

In consideration of the Agency rights granted herein, Party B can act as party A's representative to solicit order; Party A shall not, directly or indirectly, sell the commodity stipulated in Article 4 to customers that be listed by Party B. Party A undertake to give the newest price list and products information in time.

鉴于此协议中授予之代理权限，乙方需以甲方之代理人接受订单请求，而甲方不可直接或间接贩卖给客人(如第四条中乙方已列出之名单)。甲方须定时更新给乙方的价格表及产品明细。

Article 8 : Market Report

第八条：市场回报

In order to keep Party A well informed of the prevailing market conditions, Party B should undertake to supply Party A, at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covered by this agreement, local market tendency and the buyer's comments on quality, packing, price, etc. of the goods supplied by Party A under this agreement.

为了甲方充分了解目前的市场状况，乙方需定期回报市场状况，每三个月或是视情形而定向甲方回报代理区域最新动态，包括协议商品的进口及销售状况、当地市场的动向、及客户反应产品之质量、包装、价格….等等。

Article 9 : Commission

第九条：佣金

1).Party A shall pay Party B a commission of 5% on the price that Party A offered.

甲方需依供应价格给予乙方百分之五的佣金。

2).If the selling price is higher than the quoted price of Party A, Party B shall get the 100% of the higher part profit.

若卖价高于甲方给的价格，则全数的利差全归乙方所有。

3).The commission and profit can be deducted by Party B from payment for goods, or can be paid once Party A receives the full payment for each order.

乙方可由交易金额中直接扣取佣金及利润，或甲方收款后再直接拨款予乙方。

Article 10 : Industrial Property Rights

第十条：工业产权

Party B may use the trade-marks owned by Party A for the sale of the Homemade Products covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the products shall remain to be the sole properties of Party A. Should any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latter's rights.

为销售代理产品，乙方可于协议之有效期限内使用甲方之商标，但须声明产品所使用或牵涉之专利、商标、著作权及其它工业产权均属于甲方。一旦有任何违反侵犯情事，乙方应实时知会甲方并采取相关法律行动。

Article 11 : Validity of Agreement

第十一条：协议有效期限

This agreement, when duly signed by the both parties concerned, shall remain it force for 24 months from ___ , 2010 to ___ ,2012, and it shall be extended for another 12 months upon expiration unless notice in writing is given to the contrary.

本协议经双方同意签署后，有效期限可达24个月(2010年___年___月至2012年___年___月)，届效期期满后，除非双方不同意再续约，否则本协议可再延长12个月之效力。

Article 12 : Termination 

第十二条：中止合约

During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement.

合约效期内若任一方有违反协议情事，另一方得有权中止本合约。

Article 13 : Force Majeure

第十三条：不可抗力因素

Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible, and thereafter sends a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

如遇水灾、火灾、地震、旱灾、战争或其它不可预知、控制、避免或克服之因素致使任一方无法履行义务，则不为违反合约。受影响的一方须于15天内尽快以书面告知另一方此不可抗力因素，随后再附上相关机构出具之文件以兹证明。

Article 14 : Arbitration

第十四条：仲裁

All disputes arising from the performance of this agreement shall be settled through friendly negotiation. Should no settlement be reached through negotiation, the case shall then be submitted for arbitration to the (China International Economic and Trade Arbitration Commission (Beijing)) and the rules of this Commission shall be applied. The award of the arbitration shall be final and binding upon both parties.

履约时如有争议，双方应先友善协商解决。若仍未能达成协议，则交付(中国国际贸易促进委员会对外贸易仲裁委员会)，根据该会流程规定仲裁，最终双方须服从仲裁结果。
